These Terms of Service ("Terms") govern your access to and use of DispoNexus ("DispoNexus," "we," "us," or "our"), including our website and platform (the "Service"). By creating an account or otherwise using the Service, you agree to these Terms.
DispoNexus is a software platform that connects three kinds of accounts: listing partners who list deals through their own disposition CRM, investors who browse and submit offers on listed deals, and lenders who review projects and submit financing terms. DispoNexus is a technology provider — it is not a real estate brokerage, is not a party to any transaction between users, and does not provide legal, financial, tax, or real estate advice.
DispoNexus operates as a software company, not a real estate company, brokerage, or agent. DispoNexus does not accept compensation based on the closing of a real estate sale or wholesale assignment, in accordance with applicable local and federal real estate law. Section 6 below describes the one, separate context in which DispoNexus does receive a fee tied to a closed transaction — commercial loan financing — which is not a real estate sale or wholesale assignment.
You must be at least 18 years old to use the Service. You're responsible for the accuracy of the information you provide and for maintaining the confidentiality of your account credentials. You're responsible for activity that occurs under your account.
Listing partners are solely responsible for the accuracy of the listings, property details, photos, and pricing they publish, and must have the legal right to market and assign or sell each property they list. By publishing a listing, you grant DispoNexus a license to display, distribute, and — if you choose to enable it — share that listing across the Service and connected channels (for example, a connected Facebook Page), including in our own marketing.
Real estate wholesaling laws vary by state and jurisdiction and change over time. You are solely responsible for understanding and complying with the real estate licensing, disclosure, and wholesaling laws that apply to you in every jurisdiction where you do business. DispoNexus does not review listings for legal compliance and is not responsible for a user's failure to comply with applicable law.
Offers submitted by investors and financing terms submitted by lenders through the Service are proposals between those users, not commitments made or guaranteed by DispoNexus. DispoNexus does not verify a lender's ability to fund, an investor's ability to close, or a listing partner's ability to deliver a property as described.
DispoNexus may act as a commercial loan broker and receive a referral fee from a lender in connection with a commercial or business-purpose loan that closes through the Service. This is a distinct commercial financing brokerage activity that has nothing to do with real estate — it is not a real estate sale, is not a wholesale assignment, and is unrelated to DispoNexus's role as a software platform for real estate disposition described in Section 1. Any such referral fee is paid by the lender, not by the borrower or the listing partner, and DispoNexus will operate in accordance with applicable loan broker licensing and disclosure requirements. As stated in Section 1, DispoNexus does not accept compensation tied to a closed real estate sale or wholesale assignment.
Certain features of the Service may be offered as paid subscriptions or add-ons. If and when that applies to your account, pricing and billing terms will be disclosed to you before you're charged.
The Service may let you connect third-party accounts, such as a Facebook Page. Your use of any connected third-party service is also governed by that provider's own terms. You can disconnect a linked account at any time from Settings.
You agree not to:
DispoNexus owns the Service, including its software, design, and branding. You retain ownership of the content you submit (such as your listing photos and descriptions), subject to the license described in Section 3.
The Service is provided "as is" and "as available," without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that any listing, offer, or financing term is accurate or will result in a completed transaction.
To the maximum extent permitted by law, DispoNexus will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenue, arising out of or related to your use of the Service or any transaction between users conducted through it.
You agree to indemnify and hold DispoNexus harmless from any claims, damages, or expenses arising from your use of the Service, your content, or your violation of these Terms or applicable law.
We may suspend or terminate your access to the Service at any time for conduct that violates these Terms or is otherwise harmful to other users or the Service. You may stop using the Service and request account deletion at any time.
We may update these Terms from time to time. If we make material changes, we'll update the "Last updated" date above and, where appropriate, notify you directly. Continued use of the Service after a change means you accept the updated Terms.
